Agreement to Terms

These Terms of Service ("Terms") constitute a legal agreement between you and Casper AI Limited ("Casper AI", "we", "our", or "us") regarding your use of our AI-powered legal platform and related services (the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Service Description

Casper AI provides an AI-powered platform designed to assist legal professionals with M&A document analysis, workflow automation, and legal insights. Our Service includes:

  • Document analysis and review capabilities
  • Pre-built legal playbooks and workflows
  • Warranty and compliance checking tools
  • Regulatory analysis and insights
  • Reporting and analytics features

User Accounts and Registration

To access our Service, you must:

  • Create an account with accurate and complete information
  • Be at least 18 years old and legally capable of entering into agreements
  • Represent a law firm, legal department, or other authorized organization
  • Maintain the confidentiality of your account credentials
  • Notify us immediately of any unauthorized account access
  • Provide current professional licensing information where applicable
  • Maintain professional liability insurance coverage as required by your jurisdiction
  • Comply with all applicable professional conduct rules and regulations

You are responsible for all activities that occur under your account. We reserve the right to verify your professional credentials and organizational affiliation at any time.

Account Suspension: We may suspend or terminate accounts that violate these Terms, fail identity verification, or engage in unauthorized or suspicious activity.

Acceptable Use Policy

You agree to use our Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service for any unlawful or fraudulent purpose
  • Upload or process documents that violate any laws or third-party rights
  • Attempt to reverse engineer, decompile, or disassemble our AI models
  • Use automated systems to access the Service without authorization
  • Interfere with or disrupt the Service or its security features
  • Share your account credentials with unauthorized persons
  • Use the Service to compete with Casper AI or develop competing products
  • Circumvent usage limitations or access controls
  • Introduce viruses, malware, or other harmful code
  • Engage in any form of data mining or scraping
  • Use the Service to process documents containing classified information
  • Violate export control laws or sanctions regulations
  • Process documents subject to court orders or legal holds without proper authorization

Monitoring: We may monitor usage patterns to ensure compliance with this policy and to detect potential security threats.

Data Handling and Privacy

Your use of the Service is also governed by our Privacy Policy. Key points regarding data handling:

  • Client Confidentiality: We maintain strict confidentiality of all uploaded documents and data
  • Data Security: All data is encrypted in transit and at rest using AES-256 encryption
  • No Training: Your confidential documents are not used to train our AI models
  • Data Retention: Data retention periods are defined in your service agreement
  • Data Export: You may export your data at any time during the term of service
  • Geographic Restrictions: Data processing locations are specified in your service agreement
  • GDPR Compliance: We comply with applicable data protection regulations including GDPR
  • Data Processing Agreements: Separate data processing agreements may be required for certain jurisdictions

Data Breach Notification: We will notify you of any security incidents affecting your data within 72 hours of discovery, or as required by applicable law.

Service Level Agreements

Availability: We target 99.5% uptime on a monthly basis, excluding scheduled maintenance.

Scheduled Maintenance: We will provide at least 48 hours advance notice for scheduled maintenance windows.

Support Response Times:

  • Critical issues: 4 hours during business hours
  • High priority issues: 24 hours
  • Standard issues: 72 hours
  • Business hours: Monday-Friday, 9 AM to 6 PM GMT

Performance Standards: Document processing times will not exceed specified limits outlined in your service agreement.

Service Credits: Service credits may be available for sustained outages as detailed in your commercial agreement.

Compliance and Regulatory Requirements

Professional Standards: You acknowledge that use of our Service must comply with:

  • Professional conduct rules in your jurisdiction
  • Client confidentiality and privilege requirements
  • Conflict of interest regulations
  • Record-keeping and audit requirements
  • Anti-money laundering (AML) obligations
  • Know Your Customer (KYC) requirements
  • Foreign Investment review regulations
  • Securities law disclosure requirements

Export Controls: The Service may not be used in jurisdictions subject to comprehensive sanctions or export restrictions.

Audit Rights: We may conduct security and compliance audits upon reasonable notice to ensure adherence to these Terms.

Technology Specifications and Limitations

System Requirements: Compatible browsers and minimum technical specifications are outlined in our documentation.

File Formats: Supported document formats include PDF, DOCX, DOC, and other formats as specified.

Processing Limitations:

  • Maximum file size: 100MB per document
  • Maximum total storage per account as specified in your plan
  • API rate limits as defined in technical documentation
  • Concurrent user limits based on subscription tier

AI Model Limitations: Our AI models have inherent limitations and may not be suitable for all legal analysis needs. Results should always be verified by qualified professionals.

Third-Party Integrations and Services

Our Service may integrate with third-party applications and services. You acknowledge that:

  • Third-party terms of service apply to their respective services
  • We are not responsible for third-party service availability or functionality
  • Data shared with third-party services is subject to their privacy policies
  • You must obtain necessary permissions before connecting third-party services
  • We may modify or discontinue third-party integrations at any time

API Usage: Use of our APIs is subject to separate terms and conditions and technical documentation.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to events beyond their reasonable control, including but not limited to:

  • Natural disasters, pandemics, or acts of God
  • War, terrorism, or civil unrest
  • Government actions, sanctions, or regulatory changes
  • Internet outages or telecommunications failures
  • Cyber attacks or security incidents affecting infrastructure providers
  • Labor disputes or strikes affecting essential services

The affected party must promptly notify the other party and use reasonable efforts to resume performance.

Assignment and Transfer

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets with 30 days' notice.

Successors and Assigns: These Terms bind and benefit the parties' successors and permitted assigns.

Entire Agreement and Amendments

These Terms, together with your service agreement and privacy policy, constitute the entire agreement between the parties. Any conflicting terms in purchase orders or other documents are expressly rejected.

Amendment Process: These Terms may only be amended in writing or through our formal notification process as described herein.

Waiver: No waiver of any provision shall be deemed a waiver of any other provision or of the same provision at a different time.

Severability

If any provision of these Terms is found to be unenforceable, the remainder shall remain in full force and effect. Unenforceable provisions shall be modified to the minimum extent necessary to make them enforceable while preserving their intent.

Your Notice Information: You must maintain current contact information in your account settings.

Survival of Terms

The following provisions shall survive termination of these Terms: Intellectual Property Rights, Data Handling obligations, Limitation of Liability, Indemnification, Governing Law, and any payment obligations.

Governing Law and Dispute Resolution

These Terms are governed by English law. Any disputes will be resolved through binding arbitration in London, England, except for intellectual property disputes which may be brought in English courts.

Changes to Terms

We may modify these Terms from time to time. Material changes will be communicated with at least 30 days' notice. Continued use of the Service after changes become effective constitutes acceptance of the new Terms.
